End-user license agreement
Effective September 16, 2026
These terms govern your use of the website and client workspace operated by Close, Inc. (“Close”). By using the service, you agree to these terms. If you use it for a business, you must have authority to act for that business. If you do not agree, do not use the workspace; contact us to discuss access to records associated with an existing engagement.
Our services and your engagement
Close is an accounting service business. The workspace supports our delivery of bookkeeping, tax advisory, and tax filing services. The services you purchase, fees, responsibilities, deliverables, and deadlines are established in a separate engagement agreement. Creating an account or connecting a financial provider does not by itself authorize a tax filing or establish the scope of a professional engagement. If these terms conflict with your engagement agreement concerning professional services, the engagement agreement controls.
Permission to use the workspace
Close grants you a limited, non-exclusive, non-transferable permission to use the workspace for your authorized business purposes during your permitted access. Close and its licensors retain ownership of the platform, software, design, and other materials, except for your records and other content you provide. No ownership of the platform is transferred to you.
Your account and responsibilities
Provide accurate information, keep your sign-in credentials confidential, and allow access only to authorized users. Tell us promptly about suspected unauthorized access or changes to a user’s authority. You remain responsible for providing complete records and timely responses needed for your engagement. Do not share passwords, authenticator secrets, or recovery codes with Close staff.
Do not use the service unlawfully, access another client’s information, bypass security controls, introduce harmful code, disrupt the service, or copy or resell the platform without permission. These restrictions do not limit rights that applicable law does not allow us to restrict.
Your records and financial connections
You retain your rights in the records and content you provide. You authorize Close and the providers supporting our service to process that information as needed to provide the service and as described in our privacy policy. You must have authority to share the information and connect any third-party accounts.
Supported connections, including QuickBooks Online, require your authorization and are also subject to the provider’s terms. Close is independent of Intuit. Provider availability and permissions can affect a connection. You can revoke access through the provider’s connected-app settings or contact Close for assistance. Disconnection does not automatically erase imported records, cancel an engagement, or reverse work already performed.
Review and communication
Our technology, including AI assistance, supports the accounting team. Draft reports, imported information, and suggested treatments may require reconciliation and review before they are final. Contact the team about discrepancies or questions. We do not guarantee that the website will be uninterrupted or error-free, or that using the workspace alone will produce a particular financial or tax outcome.
Privacy
Our privacy policy explains our handling of personal information, financial records, service providers, and requests concerning your information.
Suspension and ending access
We may restrict or suspend access to protect clients, address security incidents, comply with law, or respond to a material breach of these terms. We will provide notice where practicable and lawful. You may stop using the workspace and contact us about closing your account. Ending platform access does not automatically cancel obligations under a separate engagement agreement.
Contact us to arrange access to or export of your records when an engagement ends. Retention and deletion remain subject to applicable obligations and our privacy policy.
Applicable rights and changes
Nothing in these terms excludes liability or rights that cannot lawfully be excluded, or removes obligations we owe under your engagement agreement or applicable professional standards. We may update these terms as the service changes. We will date the updated terms and provide notice of material changes where required. Contact us if a change affects your continued use.
